Acceptance of Terms

By accessing and using the services provided by trustedpartner Ltd ("we", "our", or "us"), including our website at trustedpartner.world and our restaurant catering sales funnel consultancy services, you agree to be bound by these Terms of Service ("Terms").

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time with reasonable notice to our clients.

User Obligations

• Late payments may incur additional charges
• All fees are exclusive of applicable taxes
• Refunds are subject to the terms of your specific service agreement

Intellectual Property

All content, materials, methodologies, and intellectual property developed or provided by trustedpartner remain our exclusive property. This includes but is not limited to:

• Sales funnel frameworks and methodologies
• Training materials and documentation
• Website content and design
• Software tools and applications
• Trade marks and branding

You are granted a limited, non-exclusive licence to use our materials solely for the purpose of implementing our recommendations within your business. You may not reproduce, distribute, or create derivative works without our express written permission.

Any improvements or modifications to your existing business processes remain your property, whilst the underlying methodologies and frameworks remain ours.

Confidentiality

We understand that you may share sensitive business information with us during our engagement. We commit to:

• Keep all client information strictly confidential
• Use information only for the purpose of providing our services
• Not disclose information to third parties without your consent
• Implement appropriate security measures to protect your data

This confidentiality obligation survives the termination of our service agreement.

Limitation of Liability

To the maximum extent permitted by law, trustedpartner's liability is limited as follows:

• Our total liability shall not exceed the fees paid by you for the specific services giving rise to the claim
• We shall not be liable for any indirect, consequential, or special damages
• We do not guarantee specific business results or revenue increases
• We are not responsible for losses resulting from your failure to implement our recommendations

Our services are provided on an "as is" basis. Whilst we strive to provide high-quality consultancy services, we make no warranties regarding specific outcomes or results.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.

Indemnification

You agree to indemnify and hold harmless trustedpartner, its directors, employees, and agents from any claims, damages, or expenses arising from your use of our services, violation of these Terms, or infringement of any third-party rights.

Governing Law

These Terms are governed by and construed in accordance with the laws of Ireland. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the Irish courts.

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

Termination

Either party may terminate a service agreement in accordance with the terms specified in that agreement. Generally:

• We may terminate services immediately for non-payment or breach of these Terms
• You may terminate services with appropriate notice as specified in your service agreement
• Termination does not relieve either party of obligations incurred prior to termination
• Confidentiality obligations survive termination

Upon termination, you must cease using any of our proprietary materials and return or destroy any confidential information in your possession.

Force Majeure

Neither party shall be liable for any failure to perform due to circumstances beyond their reasonable control, including but not limited to acts of God, government actions, pandemic restrictions, or technical failures.

Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective upon posting the updated Terms on our website. Your continued use of our services constitutes acceptance of the modified Terms.

For significant changes, we will provide reasonable notice to existing clients.

Entire Agreement

These Terms, together with any specific service agreements and our Privacy Policy, constitute the entire agreement between you and trustedpartner regarding the use of our services.
